Kinetic Arc Media — Terms and Conditions

1. Core Visual Services

Kinetic Arc Media provides high-ticket custom motion design, 3D sports animation, SaaS product tours, corporate data visuals, and interactive web UI development. All client engagements are subject to the production milestones detailed herein.

2. Intellectual Property Rights & Ownership Transfer

• Studio Assets: All pre-existing code, framework templates, 3D rendering components, custom techniques, and materials displayed on this website remain the permanent intellectual property of Kinetic Arc Media.
• Client Deliverables: Upon complete final settlement of the project balance (the final 50% payment), 100% of the commercial usage rights and ownership of the finalized, unwatermarked video or animation asset transfer entirely to the client for unlimited commercial distribution. Kinetic Arc Media retains the right to display the finalized work within our digital portfolio and showreels for promotional purposes, unless a non-disclosure agreement (NDA) is executed prior to production.

3. Client Obligations

To maintain strict project delivery dates, clients are required to provide comprehensive project briefs, necessary vector assets/logos, brand guidelines, and timely milestone feedback. Kinetic Arc Media is not responsible for production delays resulting from missing client materials or prolonged review intervals.

4. Commercial Pipeline & Payment Milestones

• Project Intake & Fixed Scoping: Clients must submit an official briefing via our intake architecture. Kinetic Arc Media will evaluate the technical scope and return a comprehensive fixed-price production quote.
• The Initiation Fee (50% Milestone): Work does not begin on scriptwriting, storyboarding, asset modeling, or rendering until a standard, non-refundable initiation payment representing 50% of the total project cost is secured.
• The Production Review Checkpoint: Upon completing the visual sequence, Kinetic Arc Media will submit a full-length draft of the animation featuring a protective studio watermark for client evaluation. Clients may request specific timing, visual adjustments, or detail iterations during this evaluation frame.
• Final Cleared Settlement & Delivery: Following formal sign-off on the watermarked draft, the remaining 50% balance must be paid in full. Upon receipt of cleared funds, Kinetic Arc Media will deliver the high-bitrate master files along with all responsive web-ready formats.
• Post-Approval Lock: To secure operational continuity, all creative revisions terminate permanently upon final project approval and the subsequent delivery of unwatermarked assets. Any modifications requested after this point will require a new independent scoping assessment.

5. Limitation of Liability

Kinetic Arc Media engineers high-performance visual assets but does not guarantee specific marketing metrics, user acquisition rates, or conversion volumes. We are not liable for direct, indirect, incidental, or consequential damages resulting from website downtime, deployment issues, or commercial distribution of the final assets.

6. Revisions to Legal Framework

We reserve the right to amend these terms at any time to align with updated operational parameters. Your continued engagement with our studio following modifications constitutes formal acceptance of the revised framework.

7. Governing Law

These Terms and Conditions are governed by, interpreted, and construed in strict accordance with the laws of Malta. Clients irrevocably submit to the exclusive jurisdiction of the regional courts to resolve any legal disputes.
